April 23, 2009 - The lead plaintiff filed an amended complaint on behalf of investors who purchased Waters Corporation (NYSE: WAT) common shares between July 24, 2007 and January 22, 2008. The lead plaintiff alleges that the defendants violated the Securities Exchange Act of 1934 by issuing false and misleading statements between July 24, 2007 and January 22, 2008.
February 23, 2009 - The lead plaintiff and lead counsel were appointed.
January 12, 2009 - A lead plaintiff motion was filed.
November 12, 2008 - An investor in shares of Waters Corporation (NYSE: WAT) filed lawsuit in the U.S. District Court for the District of Massachusetts against Waters Corporation over alleged violations of Federal Securities Laws in connection with certain allegedly false and misleading statements made between January 24, 2007 and January 22, 2008.
The complaint alleges that the representations contained in Waters Corporation's press releases, SEC filings, conference calls, and presentations between January 24, 2007 and January 22, 2008 were materially false and misleading. Specifically so the lawsuit on January 22, 2008, Waters Corporation announced its financial results for the fourth quarter and year-end 2007, the period ended December 31, 2007 and following this press release, the defendants held a conference call with analysts and investors and revealed that “an unexpected increase in [its] annual tax rate, among other factors, adversely affected [its] bottom-line performance.”
In addition Waters Corporation stated that its Japanese sales were “weaker than anticipated due to [..] a change in the testing protocols for drinking water analysis in Japan” which Waters Corporation knew about since “last year”, and as a result of this news, shares of the Waters Corporation‘s stock (NYSE: WAT) fell $14.65 per share, or approximately 20%, to close at $58.58 per share, on heavy trading volume, so the lawsuit.
