August 10, 2017 - An investor in shares of TransDigm Group Incorporated (NYSE: TDG) filed a lawsuit in the U.S. District Court for the Northern District of Ohio over alleged violations of Federal Securities Laws by TransDigm Group Incorporated in connection with certain allegedly false and misleading statements made between May 10, 2016 and January 19, 2017.
According to the complaint the plaintiff alleges on behalf of purchasers of TransDigm Group Incorporated (NYSE: TDG) common shares between May 10, 2016 and January 19, 2017, that the defendants violated Federal Securities Laws. More specifically, the plaintiff claims that between May 10, 2016 and January 19, 2017, the defendants made false and/or misleading statements and/or failed to disclose that TransDigm Group Incorporated’s growth and profitability were artificially inflated as a result of its illicit business practices, that TransDigm Group Incorporated used exclusive distributors to make noncompetitive government bids seems competitive, that TransDigm Group Incorporated subsidiaries failed to list TransDigm Group Incorporated as a parent entity when submitting government bids, and that as a result, defendants’ statements about TransDigm Group Incorporated’s business, operations, and prospects were false and misleading and/or lacked a reasonable basis.
On January 20, 2017, an article was published claiming that TransDigm Group Incorporated is the Valeant of the aerospace industry. Specifically, the article was alleged that TransDigm Group Incorporated’s business model relies on acquiring airplane parts companies, firing employees, and egregiously raising prices. The report claimed that while the Company’s business model made it a dominant airplane parts supplier, it also burdened the Company’s balance sheet with a sky-high debt load. Then, on March 21, 2017, California Representative Ro Khanna sent a letter to the Defense Department Inspector General asking for an investigation into the business practices of TransDigm Group Incorporated, claiming that the Company appears to be evading certain pricing and cost disclosure regulations.
