May 8, 2015 - The case filed on March 5, 2015 was transferred to the U.S. District Court for the Northern District of Ohio.
March 5, 2015 - Another investor in shares of TCP International Holdings Ltd (NYSE: TCPI) filed a lawsuit in the U.S. District Court for the Southern District of New York on behalf of investors who purchased TCP International Holdings Ltd (NYSE: TCPI) common shares between June 26, 2014 and February 26, 2015 and/or who acquired TCP International Holdings Ltd (NYSE: TCPI) common shares pursuant and/or traceable to TCP International Holdings Ltd's false and misleading Registration Statement and Prospectus issued in connection with the company's June 26, 2014 Initial Public Offering (IPO). The plaintiff alleges that the defendants violated the Securities Act of 1933 and the Securities Exchange Act of 1934.
March 2, 2015 - An investor in shares of TCP International Holdings Ltd (NYSE: TCPI) filed a lawsuit in the U.S. District Court for the Northern District of Ohio over alleged violations of Federal Securities Laws by TCP International Holdings Ltd in connection with the Company’s initial public offering (“IPO”) on or about June 26, 2014.
According to the complaint the plaintiff alleges on behalf of purchasers of TCP International Holdings Ltd (NYSE: TCPI) common stock pursuant and/or traceable to the Company’s IPO on or about June 26, 2014 and between June 26, 2014 through February 27, 2015, that the defendants violated Federal Securities Laws.
More specifically, the plaintiff claims that TCP International Holdings Ltd issued allegedly materially false and misleading statements to investors by failing to disclose the material deficiencies in the Company’s disclosure controls and procedures and its internal control over financial reporting.
TCP International Holdings Ltd reported that its annual Total Revenue rose from $359.36 million in 2012 to $428.93 million in 2013 and that its Net loss of $6.20 million turned into a Net Income of $8.17 million in 2013. TCP International Holdings Ltd reported its first quarter Revenue rose from $90.29 million in 2013 to $101.12 million in 2014 and that its first quarter Net Income increased from $0.94 million in 2013 to $3.92 million in 2014.
On June 26, 2014, TCP International Holdings Ltd announced the pricing of its initial public offering of 7,142,858 common shares at a price to the public of $11.00 per share overnight.
On August 7, 2014, TCP International Holdings Ltd reported its second quarter 2014 financial results. Among other things, TCP International Holdings Ltd reported that its second quarter Revenue rose from $111.16 million in 2013 to $112.46 million in 2014 and that its second quarter Net Income declined from $4.55 million in 2013 to $1.95 million in 2014.
On November 6, 2014, TCP International Holdings Ltd reported its third quarter 2014 financial results. Among other things, TCP International Holdings Ltd reported that its third quarter Revenue increased from $113.02 million in 2013 to $122.87 million in 2014 and that its third quarter Net Income rose from $4.29 million in 2013 to $4.5 million in 2014.
On February 26, 2015, TCP International Holdings Ltd’ General Counsel and Chief Compliance Officer Laura Hauser filed a lawsuit against TCP International Holdings Ltd, its subsidiary and its CEO, Ellis Yan, claiming that the Company’s Audit Committee found, among other things, that Ellis Yan obscured financial information and accountability to the Company’s CFO and that overrode and/or disregarded various internal policies.
On March 2, 2015, NYSE: TCPI shares declined to as low as $2.55 per share.
