Lawsuit Overview
August 14, 2015 (Shareholders Foundation) - An investor who currently holds shares of StanCorp Financial Group, Inc. (NYSE:SFG), filed a lawsuit in effort to halt the proposed takeover of StanCorp Financial Group, Inc. by Meiji Yasuda Life Insurance Company for $115 per share.
The plaintiff alleges that the defendants breached their fiduciary duties owed to NYSE:SFG stockholders by agreeing to sell StanCorp Financial Group, Inc. too cheaply via an unfair process to Meiji Yasuda Life Insurance Company.
On July 23, 2015, Meiji Yasuda Life Insurance Company and StanCorp Financial Group, Inc. (NYSE: SFG) announced that they have entered into an agreement under which Meiji Yasuda Life Insurance Company will acquire all outstanding shares of StanCorp for $115.00per share in cash.
However, the plaintiff claims that the proposed consideration NYSE:SFG shareholders will receive is grossly inadequate and undervalues StanCorp Financial Group, Inc. In addition, the plaintiff claims that the process is also unfair to NYSE:SFG stockholders.
