Lawsuit Overview
A shareholder has filed a securities class action lawsuit against SpaceDev, Inc. (OTC: SPDV) on behalf of public common shareholders of SpaceDev, Inc. (OTC: SPDV).
According to the complaint the plaintiff alleges that individual defendants have attempted to solicit shareholder proxies in support of SpaceDev, Inc’ proposed sale to Sierra Nevada Corp. and SDV Acquisition Corp. with the issuance of a definitive proxy statement on November 21, 2008 that contains omissions of material fact concerning, inter alia, the process resulting in the Proposed Acquisition, including the alternative transactions that the Board considered; the negotiation of the terms of the Proposed Acquisition, including the deal protection devices at issue; and the analyses that the Company’s financial advisor, Cowen and Company, LLC, rendered in connection with the Proposed Transaction.
