April 30, 2019 - An investor, who currently holds shares of Papa Murphy’s Holdings, Inc. (NASDAQ: FRSH), filed a lawsuit against the takeover of Papa Murphy’s Holdings, Inc. The plaintiff alleges that the defendants breached their fiduciary duties owed to NASDAQ: FRSH stockholders by agreeing to sell Papa Murphy’s Holdings, Inc. cheaply via an unfair process.

On April 11, 2019, MTY Food Group Inc. (TSX:MTY) and Papa Murphy’s Holdings, Inc. (NASDAQ: FRSH) announced they have entered into a merger agreement under which MTY Food Group Inc would acquire all of the issued and outstanding shares of common stock of Papa Murphy’s for cash consideration of US$6.45 per share. However, plaintiff claims that the proposed consideration NASDAQ: FRSH shareholders will receive is grossly inadequate and undervalues Papa Murphy’s Holdings, Inc. Indeed, at least one analyst has set the high target price for NASDAQ: FRSH shares at $7.00 per share. In addition, the plaintiff alleges that the process is also unfair NASDAQ: FRSH stockholders.
