Summary

<p>Plaintiffs, shareholders of Nuveen Investments, Inc. (“Nuveen”), filed the action against the Board of Directors of Nuveen. The action arose out of the acquisition of Nuveen by an investor group, Windy City Investments, Inc., led by Madison Dearborn Partners, LLC. Plaintiffs alleged, inter alia, that Defendants breached their fiduciary duties to Nuveen stockholders by improperly pursuing a sale of the Company. The settlement required Nuveen to file a supplement to the Proxy Statement on a Form 8-K prior to the shareholder vote on the transaction.</p> <p>The Court has scheduled a final approval hearing for July 8, 2008, at 11:15 a.m.</p>
