January 8, 2019 - An investor in shares of Natural Health Trends Corp. (NASDAQ: NHTC) filed a lawsuit in the U.S. District Court for the Central District of California over alleged violations of Federal Securities Laws by Natural Health Trends Corp. in connection with certain allegedly false and misleading statements made between April 27, 2016 and January 5, 2019.
Rolling Hills Estates, CA based Natural Health Trends Corp., a direct-selling and e-commerce company, provides personal care, wellness, and lifestyle products under the NHT Global brand. Natural Health Trends Corp. reported that its annual Total Revenue declined from $287.72 million in 2016 to $197.56 million in 2017 and that its Net Income declined from $55.08 million in 2016 to $23.57 million in 2017. Shares of Natural Health Trends Corp. (NASDAQ: NHTC) traded in September 2018 as high as $27.20 per share. On January 5, 2019, China Central Television (“CCTV”) aired a segment alleging that Natural Health Trends ran a pyramid scheme in China. Shares of Natural Health Trends Corp. (NASDAQ: NHTC) declined to as low as $13.40 per share on January 7, 2019.
According to the complaint the plaintiff alleges on behalf of purchasers of Natural Health Trends Corp. (NASDAQ: NHTC) common shares between April 27, 2016 and January 5, 2019, that the defendants violated Federal Securities Laws.
More specifically, the plaintiff claims that between April 27, 2016 and January 5, 2019, the defendants made false and/or misleading statements and/or failed to disclose that Natural Health Trends was operating as a pyramid scheme in China, which is contrary to Chinese law, that consequently, Natural Health Trends was not in compliance with applicable Chinese law, and that as a result, defendants’ statements about Natural Health Trends’ business, operations, and prospects, were false and misleading and/or lacked a reasonable basis at all relevant times.
