Lawsuit Overview
<p>On Wednesday, November 26, 2008, a shareholder of National City Corp. (NYSE: NCC) has filed a proposed securities class action lawsuit on behalf of shareholders of National City Corp. (NYSE: NCC) in the United States District Court for the Northern District of Ohio, Eastern Division, against members of the Board of Directors of National City Corporation (NYSE:NCC), and The PNC Financial Services Group, Inc. (NYSE:PNC) in connection with their efforts to sell National City Corporation to PNC Financial Services Group, Inc.</p> <p> </p>
<p>According to the complaint the plaintiff alleges that instead of complying with their fiduciary duty to maximize shareholder value for National City Corp.’s (NYSE:NCC; “NCC”) public shareholders, defendants instead franticly scrambled to sell NCC at below market. The complaint alleges also a claim for violations of Section 14(a) of the Securities Exchange Act, because the defendants allegedly issued a false and misleading Definitive Proxy Statement with the SEC on November 24, 2008.</p>
